End-User License Agreement (EULA)

Definitions
In this EULA, the following terms shall have the meanings set forth below:
- “BiteTheBytes”: BiteTheBytes GmbH, located in Fulda, Germany, owner and operator of “World Creator”.
- “Software”: the “World Creator” computer programs in all versions and editions, including all updates, upgrades, extensions, patches, and bug fixes made available by BiteTheBytes.
- “Service”: all services provided by BiteTheBytes in connection with the Software, including the customer portal, support, and access to the World Creator Assets.
- “World Creator Assets” or “Assets”: all digital content provided by BiteTheBytes, such as the bridge tools, textures, 3D models, project samples, materials, brushes, HDRs, and comparable content.
- “Customer Assets”: content and works created by the licensee using the Software, regardless of whether World Creator Assets are embedded.
- “Licensee”, “you”, “customer”: the natural or legal person who installs, uses the Software, or accesses the Service.
- “License Models”: the types of licenses offered by BiteTheBytes, specifically Indie, Professional, Studio, Enterprise, Perpetual, Subscription, and Lifetime.
- “Maintenance Plan”: the applicable maintenance period during which updates, upgrades, and new versions of the Software as well as access to World Creator Assets are provided.
- “Customer Portal”: the online portal provided by BiteTheBytes through which users access the Software, Assets, license management, and support services.
- “Subscription”: a time-limited, recurring license model (monthly or yearly) that continues until cancelled.
- “Perpetual License”: a perpetual license of the Software, complemented by a time-limited Maintenance Plan providing updates and access to Assets.
- “Lifetime License”: a license that permanently includes all future versions of the Software and access to all World Creator Assets, for as long as BiteTheBytes generally distributes the Software.

1. Acceptance
1.1 This EULA is a binding agreement between you and BiteTheBytes and governs your use of the Software and the Service.
1.2 Installation or use of the Software constitutes acceptance of this Agreement.
1.3 References to “Assets” always mean “World Creator Assets,” which include not only 2D materials but also 3D models, project samples, preset files, and bridge tools.
2. Accounts
2.1 Purchases of the Software are processed exclusively through the payment provider FastSpring.
2.2 After payment has been successfully processed, BiteTheBytes will create a customer account and send you login credentials.
2.3 Software and Asset downloads are provided only through the Customer Portal.
2.4 Purchases require a minimum age of 18. Use of the Software itself is permitted under the age of 18.
2.5 Account sharing is prohibited unless expressly permitted in writing by BiteTheBytes.
3. License Models
3.1 Perpetual License
a) Includes 12 months of Maintenance (updates, upgrades, and Asset access according to license tier).
b) May be renewed at any time through the Customer Portal, even after a gap. Updates and Assets released during any lapse become available again upon renewal, retroactively.
c) Access to World Creator Assets is included only in Professional, Studio, and Enterprise licenses, not in Indie.
3.2 Subscriptions (monthly or yearly)
a) Subscriptions can be cancelled at any time with no notice period. Access continues until the end of the paid period.
b) Upon cancellation, access to new versions or Assets ends, but previously downloaded versions and Assets may continue to be used in line with this EULA.
3.3 Lifetime License
a) BiteTheBytes reserves the right to offer Lifetime Licenses at its sole discretion, only on a limited basis.
b) Includes all current and future versions of the Software and all World Creator Assets, for as long as BiteTheBytes distributes the Software.
4. The Service
4.1 The Service comprises the World Creator Software, World Creator Assets (bridge tools, textures, 3D models, project samples, brushes, HDRs, etc.), and documentation.
4.2 Studio and Enterprise licenses may also operate offline by requesting license files from support. Offline license files are valid for 12 months and may be renewed.
4.3 An active internet connection is required for login and downloads, except when operating under an approved offline license file.
5. Refund Policy
5.1 Consumers in the EU have a statutory right of withdrawal. This right expires once digital content has been downloaded, installed, or activated.
5.2 For international customers outside the EU/EEA/UK, no right of withdrawal exists unless mandatory law requires it.
5.3 Refunds are not granted for violations of this EULA or for purchases made outside official channels.
5.4 Purchases made through resellers are excluded from any refund policy.
6. Access
6.1 Access to the Software and Assets is provided only after full payment.
6.2 If payment fails or is reversed:
a) Access may be suspended after a reasonable cure period.
b) Access may be restored once outstanding amounts are settled.
c) In cases of repeated non-payment or suspected fraud, BiteTheBytes may permanently suspend access and/or terminate the agreement.
6.3 Upon cancellation of a subscription or expiry of a Maintenance Plan, access to new versions and Assets ends. Previously obtained versions and Assets remain usable under this EULA.
6.4 Lifetime Licenses remain valid for as long as BiteTheBytes generally provides the Software.
7. Grant of License
7.1 The Software is licensed, not sold. The license is non-exclusive, non-transferable, and non-sublicensable.
7.2 You may create your own Customer Assets for personal or commercial use. Standalone redistribution of Assets is strictly prohibited.
7.3 License Tiers:
- Indie: Individuals only. Revenue cap USD 50,000/year. No World Creator Assets. Feature limitations (see Buy Page). Upgrade required if limits exceeded.
- Professional: Individuals only. No revenue cap. World Creator Assets included.
- Studio: Companies with revenue up to USD 1 million/year. Assets included. Offline operation available (see section 4.2).
- Enterprise: Companies with revenue above USD 1 million/year. Assets included. Offline operation available (see section 4.2). Terms may be customized.
Exceeding thresholds requires an immediate upgrade. Failure to do so constitutes a breach and may result in termination.
7.4 Use of the Software and Assets is limited to the purchased license tier and number of seats.
8. License Restrictions on Software
8.1 You may not sell, rent, lease, sublicense, lend, or otherwise transfer the Software or Documentation.
8.2 You may not circumvent or tamper with license or copy-protection mechanisms.
8.3 Reverse engineering is prohibited, except where legally mandated.
8.4 Modifying or creating derivative works of the Software or Documentation is prohibited.
8.5 Use of the Software is permitted only for the creation of your own Customer Assets. No third parties may use it independently.
8.6 Installation is permitted on multiple personal devices, but simultaneous use is limited to the number of seats purchased.
8.7 Floating Licenses and Activations:
a) All licenses are floating licenses.
b) Each seat allows up to 2 simultaneous activations.
c) Additional activations require a reset through the Customer Portal.
d) Resets are limited to 3 per month.
e) Support may approve additional resets in exceptional cases.
8.8 License files are required. Sharing or tampering with them is prohibited.
8.9 Intellectual property rights of BiteTheBytes and third parties must not be infringed.
9. License Restrictions on World Creator Assets
9.1 Assets may only be used when integrated into Customer Assets. Customer Assets may be exploited freely provided the Assets cannot be extracted or used standalone.
9.2 You may not:
a) Sell, license, or distribute Assets in standalone form (even if modified).
b) Use Assets in a way that replicates or competes with BiteTheBytes products.
c) Upload Assets (even modified) to asset stores or repositories (Unity, Unreal, TurboSquid, Sketchfab, etc.), except as integrated into Customer Assets.
d) Share Assets for free (forums, websites, Discord, repositories) unless integrated into Customer Assets.
9.3 You may modify Assets, but may not redistribute them in standalone form.
9.4 Assets may not be used to develop competing products or services.
9.5 Violations may result in immediate termination and suspension of access. Claims for damages remain reserved.
10. Consent to Use of Data
10.1 The only data collected are login logs (when and which user logged in).
10.2 Purpose: monitoring system operation and detecting misuse (such as unauthorized multi-use).
10.3 Storage duration: logs are deleted at the end of each month.
10.4 Data will not be shared, except where legally required.
10.5 Processing complies with the GDPR in the EU or applicable local data protection laws outside the EU.
11. Intellectual Property Rights
11.1 BiteTheBytes owns all rights in the Software, Assets, and Documentation. The Software is licensed, not sold.
11.2 No implied rights are granted.
11.3 Intellectual property notices must not be removed or altered.
11.4 Customer Assets belong exclusively to you. Integrated World Creator Assets remain licensed, but BiteTheBytes makes no claims over your Customer Assets, whether used privately or commercially.
11.5 Feedback may be freely used, modified, and commercialized by BiteTheBytes without compensation.
12. User Intellectual Property
12.1 Customer Assets remain your property. BiteTheBytes will only use data to the extent necessary for technical or contractual purposes.
12.2 Integrated World Creator Assets remain the property of BiteTheBytes. Use is subject to this EULA and standalone distribution is prohibited.
12.3 Support and Confidentiality: project data shared for support is used only for error analysis and troubleshooting, treated confidentially, not shared with third parties, and deleted once the case is closed (unless legal obligations require longer storage).
12.4 You are never required to provide project data to BiteTheBytes.
13. Electronic Communications
13.1 Communications are provided via e-mail, the Customer Portal, or within the Software. This includes contractual notices and marketing/product information (with opt-out available).
13.2 Electronic communications satisfy any requirement that such communications be in writing, unless stricter form is required by law.
13.3 You must keep your contact information up to date. E-mail addresses may be updated by contacting support.
14. Limited Warranty and Liability
14.1 Provision: the Software is provided “as is.” No guarantee of error-free or uninterrupted use. The Software will generally conform to the product description.
14.2 Compatibility: no guarantee of compatibility with future operating systems, hardware, or third-party software.
14.3 EU/EEA/UK:
a) Unlimited liability applies for intent, gross negligence, and injury to life, body, or health.
b) For slight negligence, liability is limited to essential contractual obligations and capped at typical, foreseeable damages.
c) Product liability under mandatory law remains unaffected.
d) This section takes precedence over section 14.4 in case of conflict.
14.4 International (outside EU/EEA/UK):
a) Liability is excluded to the maximum extent permitted by law.
b) Where exclusion is not permitted, liability is capped at fees paid during the last 12 months.
c) Free services (demos, betas, promotional versions) are provided without any warranty or liability.
14.5 Demos and Betas: provided voluntarily, without obligation, “as is,” without warranty or liability.
15. Term and Termination
15.1 Commencement: upon acceptance, installation, or use (“Start Date”).
15.2 Duration:
a) Perpetual: unlimited.
b) Subscription: until cancelled.
c) Lifetime: valid as long as BiteTheBytes distributes the Software.
15.3 Ordinary Termination:
a) Subscriptions: may be cancelled at any time via the Customer Portal. Access continues until the end of the paid term.
b) Perpetual and Lifetime: no ordinary termination; license continues indefinitely.
15.4 Extraordinary Termination (by BiteTheBytes): possible in cases of material breach (incorrect license tier, circumvention, unauthorized distribution), repeated non-payment or fraud, or serious IP infringement.
15.5 Consequences of Termination:
a) Access to the Software, Assets, and accounts is revoked.
b) Copies of the Software, license files, and documentation must be deleted or returned.
c) Customer Assets remain your property and may continue to be used.
d) World Creator Assets may only be used within existing Customer Assets; no new use or distribution allowed.
e) No further downloads or access to new versions or Assets after termination.
15.6 Survival: provisions on IP, restrictions, liability, and confidentiality remain effective after termination.
16. Confidentiality
16.1 Confidential Information includes the Software (including source/object code where made available), license files, Assets, and non-public documentation. Public materials (website, tutorials, marketing materials) are not confidential.
16.2 Obligations: strict confidentiality, use only as permitted by the EULA, reasonable protection measures required.
16.3 Exceptions: prior knowledge, public availability without breach, lawful third-party disclosure, mandatory legal or regulatory disclosure.
16.4 Duration: obligations survive for 5 years after termination; for trade secrets, indefinitely.
16.5 Remedies: breach may result in termination, damages, and injunctive relief.
17. Amendments to the EULA
17.1 BiteTheBytes may amend this EULA for legitimate reasons (legal changes, new features, closing regulatory gaps). Amendments apply only prospectively, never retroactively.
17.2 Notification will be provided via e-mail, the Customer Portal, or within the Software. The current version is always available on the Website.
17.3 Effectiveness:
a) EU/EEA/UK: amendments become effective if you consent or continue to use the Software 30 days after notice. For material changes affecting rights/obligations, you may terminate within 30 days.
b) International: amendments become effective upon publication. Continued use constitutes acceptance.
17.4 Perpetual and Lifetime licenses remain under the conditions valid at the time of purchase, unless you expressly consent to the new EULA.
18. Severability
18.1 If any provision of this EULA is invalid or unenforceable, the validity of the remaining provisions shall not be affected.
18.2 Such invalid provision shall be replaced by a valid one which comes as close as possible to the intended economic purpose.
18.3 The same applies to any contractual gaps.
19. Assignment
19.1 You may not assign, transfer, or otherwise dispose of any rights or obligations under this EULA without prior written consent.
19.2 BiteTheBytes may assign or transfer its rights or obligations, for example in the case of restructuring, mergers, acquisitions, or sale of business units, provided your rights remain unaffected.
19.3 Assignments and transfers must be in writing.
20. No Partnership
20.1 This EULA does not create a partnership, joint venture, or employment relationship.
20.2 Neither party may bind the other.
20.3 No third-party rights are granted under this EULA.
21. Governing Law and Jurisdiction
21.1 This EULA is governed by German law. Consumer protection rules at the place of residence remain unaffected.
21.2 Jurisdiction:
a) For business customers: exclusive jurisdiction is Fulda, Germany.
b) For consumers (EU/EEA/UK): mandatory jurisdiction at the consumer’s place of residence applies.
c) BiteTheBytes will only bring actions against consumers in Fulda, Germany.
21.3 International: this EULA applies worldwide under German law. The UN Convention on Contracts for the International Sale of Goods (CISG) is excluded.
